Our Process for Buying a Business
At The MGroup Corporate Finance we have a structured and proven approach to selling businesses.
Here’s how we can help:

Stage 1: Planning and Contacting
We work together to clarify your goals for acquiring a business and agree on general parameters. We search for both publicly listed businesses and those not currently on the market that might be a good fit. We categorise these opportunities by their financial, operational, and commercial strengths and assess the funding needed for a possible acquisition.
We reach out directly to businesses. Non-disclosure agreements are signed to keep things confidential, and we help gather more information about potential targets, including what sellers are likely expecting in terms of price. We also research market trends to support future valuations and can accompany you to meetings with target businesses, ensuring you’re well-prepared.

Stage 2: Valuation, Negotiation, and Deal Structure
We help you choose which targets to pursue more seriously and dig into their financials to understand their performance and future potential. We’ll help you arrive at a fair price, keeping in mind the broader market, and structure a deal that works for you.
We’ll assist in making offers and negotiating the final terms. If needed, we’ll connect you with experienced corporate lawyers to help assess the legal side, and we start getting ready for due diligence.

Stage 3: Deal Planning and Finance
We explore financing options to support the transaction. If you’re seeking external funding and need a detailed financial model to present to lenders, we can help develop that.
We also help identify potential lenders and communicate your investment proposal to them, supporting you with the business plan presentation.

Stage 4: Transaction Execution
We map out a timeline with key milestones leading up to the deal’s completion. We assist with due diligence, working closely with lawyers, accountants, and other advisors. If needed, we can provide full financial due diligence via the MGroup Accountancy team.
Throughout, we assist with negotiating the details of the transaction and work with your legal team to finalise the deal.
